Nasdaq gives Dogness until April 2027 to lift its shares back to $1
Nasdaq told Dogness on October 19th, 2026 that its Class A shares had closed below $1.00 for 30 consecutive business days. The company has until April 19th, 2027 to regain compliance, three years after a 1-for-20 share consolidation closed its last bid-price case.

Dogness is back on a Nasdaq compliance clock, three years after a 1-for-20 share consolidation ended the last one. Nasdaq told the pet products maker on October 19th, 2026 that its Class A shares had closed below $1.00 for 30 consecutive business days, and Dogness has until April 19th, 2027 to fix it.
The notice cites Nasdaq Listing Rule 5550(a)(2). Dogness said it "has no immediate effect on the listing" of its Class A shares.
Its fiscal 2026 annual report gives the last trading price as $0.88 on September 29th, 2026. Since listing in December 2017, the shares have traded between $0.81 and $174.80, adjusted for the consolidation.
Ten trading days at $1 would close the case
To regain compliance, the closing bid has to hold at $1.00 or more for at least 10 consecutive business days before April 19th, 2027. Nasdaq can ask for a longer run, generally no more than 20 business days. If Dogness misses the date, it may be eligible for a second 180-day period.
Dogness said it will monitor its bid price and may consider available options to regain compliance. Its forward-looking statements list "the timing and effects of any reverse share split we may effect" among the risks.
Dogness has already used the reverse split route
Nasdaq's last bid-price letter came on March 22nd, 2023. Dogness missed the first deadline of September 18th, 2023, then moved its Class A shares to the Nasdaq Capital Market and won an extra 180 days.
Nasdaq approved that move on the condition that Dogness would cure the deficiency with a reverse split if needed, and the consolidation took effect on November 7th, 2023.
A December 2023 filing says the shares then closed at $1.00 or more from November 7th to November 20th, and Nasdaq closed the matter. From letter to all-clear, the first round took eight months.
The notice lands on a much smaller business
The company's fiscal 2026 annual report covers the year ended June 30th, 2026.
- Revenue: $15.9M, down from $20.7M
- Net loss: $27.6M, against $5.1M a year earlier, including a $14.0M write-down of long-term investments
- Total current assets: $8.5M, down from $17.1M
Chairman and CEO Silong Chen cut his monthly base salary in half, to $5,000, starting September 1st, 2026. Dogness is still launching products, including the Gemini-powered AI pet feeder it announced on October 15th.
The shares keep trading as DOGZ while the clock runs.
